Kitron: Notice of Annual General Meeting on 22 April 2013 at 15:30
(2013-03-21)The Annual General Meeting of Kitron will be held on Monday 22 April 2013 at 15:30 at Hotel Continental, Stortingsgaten 24/26, Oslo. Please note that the interim report for first quarter 2013 will be presented on the same day and place at 14:30.
The board of Kitron ASA has decided to propose a dividend of 0.10 per share for the fiscal year 2012. Provided that the Annual General Meeting adopts the proposal, the dividends will be distributed to the shareholders of record as of the date of the Annual General and the shares will be traded ex-dividend as from 23 April 2013. The dividend will be paid on or about 3 May 2013.
Further, the board proposes to introduce a share option program for executive management which entails that executive management, on certain terms, may be granted a right to subscribe for shares in Kitron at NOK 0.10 per share after a vesting period of three years. C ompletion of the program is subject to a reduction of the par value of the shares. Hence, the board has proposed to reduce the pare value per share with NOK 0.90, from NOK 1 to NOK 0.10. The reduction amount shall be transferred to other equity.
