BIOVAXYS ENGAGES ENCLAVE CAPITAL LLC TO ACT AS AN AGENT IN BROKERED PRIVATE PLACEMENT OFFERING
Upon successful closing of the Offering, Enclave will receive a cash fee equal to 8% of the total proceeds received by the Company from Enclave investors (the " "). In addition to the Offering Fee, the Company will pay Enclave a cash fee of $10,000 .
All other terms and conditions of the Offering as previously announced on May 30, 2025 , and amended on June 20, 2025 , remain unchanged.
Subject to compliance with applicable regulatory requirements and in accordance with National Instrument 45-106 – (" "), the units of the Company (each, a " ") issuable under the Offering will be offered for sale to purchasers in all provinces and territories of Canada , except Quebec , pursuant to the listed issuer financing exemption (" ") under Part 5A of NI 45-106. The securities to be issued pursuant to the sale of the Units under the Offering will not be subject to resale restrictions in accordance with applicable Canadian securities laws.
