MANDATORY PUBLIC TENDER OFFER FOR INCAP CORPORATION'S SHARES WITH RELATED TERMS AND CONDITIONS HAS BEEN PUBLISHED
Inission AB has today published the mandatory public tender offer for the shares of Incap Corporation in a release, which is enclosed to this stock exchange release.
As informed by Incap on 12 December 2014, the Board of Incap Corporation will consider the public tender offer of Inission and give in line with the Finnish Securities Markets Act a statement concerning the final offer after the publication of the offer document at the latest. Because the major shareholders of Inission, the maker of the offer, are members of the Board of Incap Corporation, the issue will be discussed among the independent members of the Board. When evaluating the offer the Board of Directors of Incap will, together with its advisors, pay special attention to the low price level of the tender offer in relation to the future outlook published by Incap and to the share price of Incap during the period preceding the date of becoming obligated to make a public tender offer, as well as to the lack of control premium.
