STATEMENT OF INCAP CORPORATION'S BOARD CONCERNING THE CHANGE IN HOLDINGS IN INCAP
Incap Corporation has today been informed that Inission AB will make a public tender offer for the shares of Incap after their ownership in Incap has increased to 33,022,948 shares corresponding approximately 30.27% of all the shares and votes in the company. Incap has further been informed that Varma Mutual Pension Insurance Company has given to Inission AB an advance undertaking to accept the tender offer as to the 7,684,615 shares in its ownership.
The Board of Incap Corporation will consider the public tender offer of Inission and give in line with the Finnish Securities Markets Act a statement concerning the final offer after the publication of the offer documents at the latest. Because the major shareholders of Inission, the maker of the offer, are members of the Board of Incap Corporation, the issue will be discussed among the independent members of the Board.
When evaluating the offer the Board of Directors of Incap will, together with its advisors, pay special attention to the low price level of the tender offer in relation to the future outlook published by Incap and to the share price of Incap during the period preceding the date of becoming obligated to make a public tender offer, as well as to the lack of control premium.
