Stagecoach Group plc: Director/PDMR shareholding

Stagecoach Group plc (the "Company") was yesterday notified of transactions in the holding structure by which Sir Brian Souter and Ann Gloag (each a director of the Company) hold their and their families' interests in the Company's ordinary shares of 125/228th pence each (the "Ordinary Shares").
There has been no change to either (a) the aggregate number of Ordinary Shares in which Sir Brian Souter and Ann Gloag and persons closely associated have an interest; or (b) the number of voting rights exercisable by Sir Brian Souter and Ann Gloag (as determined in accordance with the Disclosure Guidance and Transparency Rules).
Notwithstanding the transactions, the ultimate economic interests of Sir Brian Souter and Ann Gloag and certain persons closely associated with them in the Ordinary Shares have changed. The table set out below shows such changes in ultimate economic interests in Ordinary Shares and further details are set out in the notifications set out at the end of this announcement (which are made in accordance with the EU Market Abuse Regulation).
Highland Global Transport Limited ("HGT") undertakes predominantly transport related businesses, including its interest in Ordinary Shares. The shareholders of HGT have decided that (in order to achieve the commercial objectives of the Gloag and Souter families) they should divide the business along family lines and accordingly the shareholders have implemented a reconstruction of the HGT group with each family now owning a holding company to which part of the business currently undertaken by HGT will be transferred. Accordingly Ann Gloag's family business will now be held by a newly incorporated company known as Gloag Investments Group Limited ("GIGL") while Sir Brian Souter's family business will be held by a newly incorporated company known as Souter Investments Limited ("SIL").
The number of Ordinary Shares held by each of HGT Finance A Limited and HGT Finance B Limited (as more particularly described in the Company's announcement of 5 March 2015) has not changed. As a result of the transactions, HGT Finance A Limited has become a wholly owned subsidiary of GIGL and HGT Finance B Limited has become a wholly owned subsidiary of SIL.
Ann Gloag will continue to exercise the voting rights in connection with the Ordinary Shares owned by HGT Finance A Limited through her shareholding in, and membership of the board of, GIGL and Sir Brian Souter will continue to exercise the voting rights in connection with the Ordinary Shares owned by HGT Finance B Limited as a result of his shareholding in, and membership of the board of SIL.
