RoodMicrotec AGM approves all proposals Chairman of Supervisory Board does not seek reappointment

During RoodMicrotec's annual general meeting of shareholders on 25 April, the annual report and financial statements for 2012 were discussed, and a business update was given to the meeting. The annual report and the financial statements were then formally adopted. The board of management was discharged from liability for the management conducted, and the supervisory board for its supervision.
The result appropriation proposal - to add the result to the reserves - was also approved. Furthermore, the supervisory board was authorised to grant authority to the board of management to issue shares for a period of 5 years. The supervisory board was authorised to appoint the present auditor for the 2013 to 2015 financial years.
During the meeting, a reorientation of the composition of the supervisory board was brought up. It was felt that a company like RoodMicrotec and the dynamic market the company operates in make it desirable for supervisory directors to have a great deal of market knowledge, as well as commercial and international experience.
After the voting explanations for the relevant agenda item, Mr Stolker withdrew his candidacy for re-election to the supervisory board. Mr Stolker also announced that Mr Fluit stepped down from the supervisory board. The background to this was a difference of opinion between the supervisory directors and the board of management.
The reappointment of supervisory director Mr Vic Tee was adopted. Mr Vic Tee voiced his confidence in RoodMicrotec and in the collaboration with the board of management. At the earliest opportunity an extraordinary shareholders' meeting will be convened in which at least 1 new supervisory director will be nominated.
